(ASX: LIN) Lindian Resources Limited Financial Review - FY2021~25

Lindian Resources Limited’s FY2021–FY2025 history is an exploration-and-development funding story: Guinea bauxite acquisitions were followed by Kangankunde in Malawi, with capitalised exploration, cash investment and equity funding becoming the central financial features. Statutory loss, cash, capitalised exploration and acquisition consideration are kept distinct.

Five years in context

The Group identifies mineral exploration as its principal activity and says conventional profitability and total-shareholder-return measures are not suitable while it has no significant revenue stream. This review therefore does not construct sales, margin or production trends.

The financial story changed with the Guinea bauxite portfolio in FY2021 and the subsequent Kangankunde rare-earths acquisition path in Malawi. Those events explain why project assets, acquisition obligations and funding require separate treatment from annual loss.

At FY2025, deferred exploration related to Kangankunde and the Guinea bauxite projects; recovery remains dependent on successful development, commercial exploitation or sale. A carrying amount is not a mineral-resource, reserve, production or valuation claim.

Events behind the numbers

FY2021

Guinea portfolio changes the asset base

The issuer described acquisition of a Guinea bauxite portfolio as transformational while the business remained an exploration group.

FY2022

Kangankunde settlement precedes the acquisition agreement

The May 2022 legal settlement did not itself complete acquisition: the agreement and payment are recorded in August 2022, within FY2023.

FY2023

Kangankunde enters the asset base

The August 2022 purchase agreement brought a staged US-dollar acquisition obligation alongside the drilling and development programme. By June, only the first two tranches had been paid; the third payment followed in July.

FY2024

Acquisition cash is a distinct investing lane

Investing cash included a separately identified payment for acquisition of exploration projects as well as exploration expenditure; neither substitutes for the other.

FY2025

Construction funding follows the June balance date

Cash declined during the year. The Iluka loan/offtake announcement on 6 August, the A$91.5m equity raising announced on 20 August and the subsequent construction decision are later events, not June cash or FY2025 revenue.

FINANCIAL REVIEW / 01

Funding supported negative operating and investing cash flow

Operating cash flow was negative in every displayed year. Financing inflows were positive in each year, while the largest funding steps coincided with expansion in exploration investment rather than an operating-revenue transition.

The investing expansion combined acquisition instalments with field expenditure. The later comparative presentation separates those FY2023 components, so the original aggregate is not mistaken for drilling spend alone. FY2025 added A$1.214m of plant cash expenditure even though acquisition cash was nil.

FY2022 financing included A$3.274m of share/option proceeds and A$0.300m of borrowings. This is kept distinct from the annual narrative’s broader raising figure, which includes a loan-to-equity element rather than cash proceeds alone.

Funding dependency matters as much as the cash balance: FY2022 disclosed a material going-concern uncertainty if further funds were not secured. The FY2025 directors supported going concern using forecasts at the financial-report signing date, after the later funding events; that assessment does not turn those later proceeds into June cash.

FINANCIAL REVIEW / 02

Losses reflect a project-development cost base, not a mining margin

Statutory losses remain the relevant annual performance measure in the absence of a significant revenue stream. FY2023 included investor-relations and promotion, foreign-currency loss and share-based-payment expense alongside consulting, travel and other costs; these are cost drivers, not revenue substitutions.

In FY2024, the consolidated statement showed a foreign-currency gain, but consulting and directors’ fees, share-based payments and other expenses remained separately reported costs. FY2025’s segment schedule identifies consulting and directors’ fees, other expenses and a foreign-exchange loss; the cash-flow reconciliation’s different foreign-exchange add-back is not substituted for that P&L line.

The FY2025 tax benefit reduced the statutory loss; it is not a recurring tax-rate assumption. Within other expenses, salaries and legal fees were the largest named components. They sit inside, rather than on top of, the total cost line.

FINANCIAL REVIEW / 03

Capitalised exploration and cash expenditure are related but different measures

The FY2021 asset build included acquired Lelouma exploration of A$1.071m and Woula exploration of A$0.783m. The much larger Malawi acquisition explains the later step-change; none of these carrying amounts represents project market value.

Capitalisation, cash investment and translation movements differ. The FY2025 bridge distinguishes expenditure added to the asset from exchange translation; the separate cash table records actual exploration payments.

Financial-position records require scope discipline

The Group asset, liability and equity records are available across all five years. FY2021 total liabilities are calculated from reported Group assets and equity; FY2025 net assets are independently reported rather than calculated.

The third acquisition instalment was paid in July 2023, within FY2024. The remaining US-dollar obligation still sat on the June 2025 balance sheet, and its Australian-dollar value changed with translation. Registered ownership was 67%, with the remaining shares transferring on the final tranche; the consolidated accounting perimeter is not a claim that every instalment had been paid.
