(ASX: LOT) Lotus Resources Limited Financial Review - FY2021~25

Lotus Resources moved from maintaining an idle uranium mine to funding Kayelekera’s restart. The five-year record combines repeated equity raising, a major Botswana acquisition and a step-up in construction cash use. Accounting losses, restricted environmental funding and future uranium deliveries each tell a different part of that story.

Years ended 30 June 2021–2025 · consolidated A$ million unless stated · Editorial review: 2026-10-03 · MII Research

Five years in context

The early years focused on restart studies and care and maintenance. Lotus increased its Kayelekera interest during FY2022, then completed the restart DFS and settled the remaining vendor obligations during FY2023.

A-Cap added Letlhakane in FY2024; FY2025 shifted the spending profile toward Kayelekera construction. The accounts still precede first post-year-end production and expected revenue receipts, so planned output is not presented as historical sales.

Events behind the numbers

FY2021

Restart groundwork

The October 2020 scoping study led into technical work on sorting, power, acid recovery and tailings while Kayelekera remained on care and maintenance.

FY2022

Larger Kayelekera interest

Following July 2021 approval, share consideration increased the economic interest from 65% to 85%. The Hylea tenement disposal generated a separate gain rather than mine revenue.

FY2023

DFS, placement and final vendor settlement

The restart DFS was released in August 2022 and a September placement funded development and the final March 2023 environmental-bond repayment.

FY2024

Letlhakane joins; Wilconi exits

A-Cap closed in November 2023. The enlarged Group retained the uranium projects but withdrew from Wilconi, fully impairing its nickel-cobalt asset.

FY2025

Accelerated restart funded

A large equity raising supported the accelerated Kayelekera restart. A fiscal-stability agreement and power-supply arrangements accompanied construction; first production came after June year-end.

FINANCIAL REVIEW / 01

A smaller loss did not mean a smaller construction programme

The FY2024 loss included the Wilconi write-off. With much lower impairment in FY2025, the Group loss narrowed even as restart capital spending accelerated. That is why loss and investing cash flow should not be treated as interchangeable measures.

Care and maintenance remained a recurring cost; corporate and share-based expenses grew in the latest year. Earlier other gains included the Hylea disposal. Neither that gain nor interest income is evidence of uranium production revenue.

FINANCIAL REVIEW / 02

New capital funded the step from studies to restart

Equity raisings were the main replenishment of cash. FY2025 investing outflow includes short-term investment purchases as well as plant and exploration payments, so it should not all be labelled project capex.

At year-end, term deposits could have maturities of up to six months. Longer-dated deposits therefore moved outside cash equivalents even though they remained financial assets; exchange-rate movements also affected the translated closing cash balance.

FINANCIAL REVIEW / 03

Liquidity, restricted funds and project assets are different

The FY2021 cash figure is shown on the later restated basis, excluding the environmental performance bond. Keeping restricted collateral separate prevents a reclassification being mistaken for cash consumption.

The bond provides environmental security; the rehabilitation provision estimates the wider future closure obligation. Paying the remaining Paladin instalments in March 2023 did not release the bond for general operations or extinguish that closure obligation.

The FY2024 asset increase was mainly acquisition-driven. A-Cap was an asset acquisition, not an operating earnings contribution at a comparable scale; its securities consideration should not be read as a cash purchase or organically generated equity.

FINANCIAL REVIEW / 04

Contracts create obligations, not recognised sales

Four binding uranium offtakes cover deliveries in 2026–2029. The report also describes borrowing facilities and equipment financing, but contractual facility sizes are not substituted for drawn debt in these historical accounts.

Restart-related expenditure commitments and revenue-linked royalties matter to the next phase. These are disclosed obligations and terms, not a valuation: the latest report describes A$7.588m of near-term expenditure commitments, government/vendor royalties and a community-development revenue contribution.

First production and the subsequent placement were after 30 June 2025. They explain the next chapter but are not included in FY2025 sales or closing cash.

Reading the figures

  • FY2021 cash is the explicitly restated comparative; FY2021–FY2022 cost categories use identified later reclassifications without changing Group loss.
  • FY2025 Group total assets/equity are not retained in the selected extraction. Supported cash, liabilities, E&E, PPE, collateral and provision balances are shown without inventing a complete total.
  • Wilconi’s large impairment and A-Cap’s eight-month initial consolidation belong to FY2024. Conflicting later narrative dating is not used to duplicate the charge.
  • Saved claims differ on the exact first-production date, but agree that it was after June 2025; this review makes no more precise date claim.
  • Prepared from existing year-by-year extraction records only. No raw-source retrieval, database query, financial web research or MiniMax call. GPT review against saved extractions; not an independent original-document audit.
