(ASX: MHC) Manhattan Gold Corporation Limited Financial Review - FY2021~25

Manhattan’s portfolio expanded while exploration costs accumulated on the balance sheet. New securities funded intermittent cash replenishments, and withdrawals from Australian tenements drove a large FY2024 write-off. The smaller FY2025 loss mainly reflects a lower impairment charge—not a matching reduction in operating cash use.

Five years in context

Tibooburra exploration dominated the early period before Chebogue broadened the portfolio into Canadian lithium. By FY2025, a northern Tibooburra farm-in changed the funding pathway, while the Hook Lake gold acquisition was agreed before June and completed after year-end.

This is an exploration-stage financial record. The company reported no mining production or development in FY2025; capitalised exploration costs and drilling results are therefore not commercial sales or realised project returns.

Events behind the numbers

FY2021

Tibooburra drilling backed by equity funding

RC, aircore and diamond programmes advanced the project. Securities proceeds more than covered operating and investing cash use, lifting closing cash.

FY2022

Field work continued without new financing cash

Two New Bendigo RC programmes and northern-target drilling continued. Operating and exploration payments drew down the previous cash balance; net financing was reported nil.

FY2023

Chebogue added through Afro Mining

The acquisition broadened the portfolio into Canadian lithium. Its consideration included shares and options, while a separate cash securities issue replenished liquidity.

FY2024

Chebogue focus and Australian tenement write-offs

The company focused on Chebogue and limited Tibooburra activity. Withdrawn Australian tenements drove the large exploration impairment; financing receipts were limited to option conversions.

FY2025

Tibooburra farm-in and a new Canadian gold agreement

Novo’s subsidiary agreed an earn-in over six northern Tibooburra licences. Hook Lake was agreed in May, but its completion and the associated later funding belong after the June balance date.

FINANCIAL REVIEW / 01

Headline loss improved; operating cash use did not

The reduction in FY2025 impairment accounts for most of the improvement in net loss. Removing only that charge leaves a much smaller change in the remaining net result. Operating cash outflow actually increased, so the lower statutory loss should not be described as an equivalent improvement in cash efficiency.

In the earlier accounts, consultancy and directors’ fees were a recurring cost. Administrative expense grew sharply in FY2024, alongside the tenement write-off. Interest income only partly offset these expenses and was not operating mineral revenue.

The FY2025 impairment concerned Australian tenements the group chose not to continue exploring. It does not establish a write-down of the later Hook Lake acquisition or a change in the value of its historical gold estimate.

FINANCIAL REVIEW / 02

Financing timing explains the changing cash balance

Substantial securities receipts supported FY2021 and FY2023. The intervening FY2022 had no financing inflow, while FY2024 had only a small option-conversion receipt. Those financing gaps explain why cash fell even though the project asset continued growing.

FY2025 cash financing broadly matched operating and investing uses, leaving June cash almost unchanged. The August placement was later support, not part of the annual financing amount. Directors cited discretionary spending control and fundraising ability in their going-concern assessment; this is not a calculated runway forecast.

Cash securities proceeds differ from the statement of changes in equity. The Afro transaction included non-cash consideration, and issuance-cost balances are not necessarily current-year cash fees. Cash receipts and costs are kept together on the cash-statement basis here.

FY2021–FY2023 investing also included fixed-asset purchases and disposal receipts. Exploration payments alone are not a replacement for net investing cash flow.

Equity-accounting movements can include non-cash acquisition shares and options. They must not be treated as cash proceeds.

FINANCIAL REVIEW / 03

Asset additions are not the same as exploration cash spent

The capitalised asset grew throughout the five years despite write-offs. FY2023 is the clearest reason not to call the additions row “cash exploration spend”: its large asset increase coincided with the Afro acquisition, including A$2.5m of consideration shares, whereas cash exploration payments were much lower.

FY2024’s write-off and FY2025’s smaller charge reduced particular Australian tenement balances, but additions to the portfolio still exceeded those charges. A higher retained cost does not guarantee discovery, production or recovery through sale.

The latest balance sheet is lightly burdened by recognised liabilities, yet most assets are not cash. The issuer’s working-capital discussion includes non-current security deposits; that management measure should not be mistaken for immediately available cash or a conventional current-assets-minus-current-liabilities calculation.

FINANCIAL REVIEW / 04

Funding routes and events beyond the balance date

The December 2024 northern Tibooburra farm-in requires Novo’s subsidiary to spend at least A$1.5m over two years to earn 70%. This is an earn-in condition on specified licences, not a completed sale of all Tibooburra or cash revenue already received by Manhattan.

Hook Lake’s May 2025 agreement preceded the balance date. Completion and consideration issues occurred in July, followed by the August placement intended for survey and exploration work. Those events are useful context but are not inserted into FY2025 assets or cash receipts.

The December 2024 share consolidation changes the meaning of raw share counts and per-share comparisons. The annual report identifies a 20:1 consolidation and adjusts weighted-average shares; an unadjusted EPS or dilution chart would give a misleading comparison. Outstanding options may create later dilution even though they were anti-dilutive for loss-per-share accounting.

Annual tenure and exploration commitments remain alongside ordinary payables and discretionary work. The issuer reported no borrowings during FY2025; this describes the recorded funding structure, not a promise that future exploration can be financed without additional equity.
